Subscription Service or Service: Refers to the software, professional services, and technical support services provided by Clnto at the website https://www.clnto.com, consisting of all proprietary technology, licensors, and service providers used by Clnto to provide the Subscription Services.
Order Form: Refers to the purchase confirmation of Clnto from Customer, identifying the Subscription Service, Pricing Metrics, and Price.
Pricing Metrics: Refers to the charges for users and usage of the Subscription Service described in the Order Form or Pricing Page.
Party: Refers to the business entity of either Clnto or the Customer.
Customer Database: Refers to the business data records stored in the customer data that is successfully connected to Clnto software, classified as confidential information.

This TOS constitutes a legally binding document, governing the Customer’s use of the Service by the law of Ahmedabad, India.
Customer warrants being a legal entity in good standing in the jurisdiction of its formation.
Acceptance of this TOS implies that the Customer has read, understood, and agrees to be bound by this TOS.
Clientjoy may modify this TOS without prior notice, and the TOS becomes effective from the date of posting. The most current version can be reviewed here.

Clnto owns all right, title, and interest in and to the Subscription Services, including related intellectual property rights.
Customers are granted a limited, worldwide, non-exclusive, non-transferable right to use the paid Subscription Service solely for internal business operations.
Customer’s use includes the right to access all functionality available in the purchased Subscription Service, subject to applicable pricing metrics.
Customers may access and use the Service only for lawful purposes.

The customer agrees to pay Clnto the amount specified in the Order Form within the use of the applicable Pricing Metrics.

Credit Card payment mode is the default for customers not on the Enterprise Pricing Plan.

Subscription Service fees will be invoiced in advance as per the Order Form.
Customer agrees to pay all invoiced amounts immediately.
For international telegraphic transfers, transaction fees are the responsibility of each party’s respective banks.
Overdue amounts may result in the suspension of Customer’s access to the Services.

Clnto does not own or is responsible for any Customer Data.
Customer is solely responsible for the accuracy, quality, legality, and ownership of Customer Data.
Customer may provide Feedback to Clnto, which may be used without confidentiality obligations.
Clnto may monitor Customer’s use in an aggregate and anonymous manner.

Customers can email Clnto Customer Support (support@clnto.io) for software-related support.
The support team is available from 10 am to 6 pm Indian Standard Time (GMT+5.5) on weekdays, excluding Indian Public holidays.
Clnto may access Customer’s user account(s) with express written permission to identify and resolve potential issues.

Customers may direct Clnto to retrieve information from third-party providers.
By using the Service, Customer authorizes Clnto to access and use Customer Account Information from identified third parties as Customer’s agent.

Free Trial use is limited to evaluating whether to purchase a subscription.

Either party may terminate this TOS if the other party fails to cure any breach within 30 days after email notice.
Termination is not an exclusive remedy. Customer Data may be permanently deleted after 90 days upon termination.
